Signing a contract with a UHPC manufacturer is a key step in defining the rights and obligations of both parties, and clearly specifying the core clauses can effectively mitigate cooperation risks. Drawing on 28 years of contract management experience, Qinglong Group has summarized the five core clauses that require particular attention when signing UHPC contracts, providing customers with a practical reference.
I. Product Parameters and Quality Standard Clauses The core parameters of UHPC panels must be specified: thickness, dimensions, shape requirements, material performance indicators (compressive strength ≥120MPa, flexural strength ≥30MPa, etc.), and surface treatment methods (acid etching, sandblasting, etc.). Quality standards should reference current industry standards (such as “Ultra-High Performance Concrete (UHPC) Exterior Wall Panels”), while also stipulating third-party testing requirements, the party responsible for testing costs, and the handling plan for non-conforming products. Qinglong specifies in its contracts a product qualification rate of ≥99.5%, with unconditional replacement of non-conforming products and coverage of related losses.
II. Delivery Period and Acceptance Clauses The delivery period must specify exact start and end dates, the delivery location, and the delivery method, and stipulate liability for late delivery (e.g., liquidated damages of 0.1% of the contract amount per day). Acceptance clauses must define acceptance criteria, acceptance procedures, and the deadline for raising objections; a dual acceptance model of “appearance acceptance + sampling inspection” is recommended. Qinglong's contracts include a detailed acceptance checklist covering product quantity, appearance quality, test reports, and more; acceptance objections must be raised within 7 days of receipt to ensure timely handling of disputes.
III. Installation and After-Sales Service Clauses If installation services are included, installation qualifications, construction plans, the division of safety responsibilities, and the installation schedule must be specified. After-sales service should stipulate the warranty period (typically 5-10 years), warranty coverage (e.g., cracking, peeling, fading, etc.), after-sales response time (≤24 hours), and repair plans. As an enterprise integrating production and installation, Qinglong makes clear in its contracts that safety responsibility during installation is borne by the manufacturer and that free repair services are provided within the warranty period. For example, the contract for the Shenzhen Pingshan High-tech Zone Comprehensive Service Center project stipulates an 8-year warranty covering both product quality and installation quality.
IV. Price and Payment Clauses Price clauses must specify the unit price, total price, and price inclusions (whether mold fees, transportation fees, and installation fees are included), and establish a price adjustment mechanism (e.g., how prices are adjusted when raw material prices fluctuate by more than 10%). Payment clauses should reasonably divide payment milestones (e.g., 30% advance payment, 40% upon completion of production, 25% upon passing acceptance, and 5% upon expiration of the warranty period) to avoid a single full payment. Qinglong's payment terms balance the interests of both parties, securing the manufacturer's production funds while reserving a quality guarantee deposit for the customer.
V. Breach of Contract Liability and Dispute Resolution Clauses Breach liability must specify the breach scenarios and compensation methods for both parties, such as specific compensation standards for customer late payment or for manufacturer product non-conformity or late delivery. Dispute resolution clauses should stipulate the resolution method (negotiation, arbitration, or litigation) and the governing institution; choosing an arbitration institution located at the project site or at either party's location is recommended. Qinglong's contracts clearly establish the principle of reciprocal breach liability, avoiding one-sidedly increasing either party's responsibility; negotiation is the preferred method for dispute resolution, with disputes submitted to arbitration if negotiation fails, thereby improving dispute handling efficiency.
When signing a contract with a UHPC manufacturer, five core clauses must be clearly specified—product quality, delivery and acceptance, installation and after-sales service, price and payment, and breach of contract liability—to avoid vague wording. Qinglong Group's contract terms have been reviewed by a professional legal team, balancing fairness and enforceability to safeguard cooperation. Choosing a manufacturer with standardized contract terms and clear rights and responsibilities is key to ensuring smooth cooperation.
